These Terms of Service ("Terms") govern your access to and use of the Virideon platform, including the website at virideon.ai and any associated software, APIs, integrations, and services (collectively, the "Service"), provided by Virideon Inc. ("Virideon," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
Section 01Agreement
By creating an account, connecting a data source, or otherwise accessing the Service, you accept these Terms and our Privacy Policy. If your organization has signed a separate written agreement with Virideon (such as a Master Services Agreement, Order Form, or Data Processing Addendum), that agreement controls in case of any conflict with these Terms with respect to that organization's use of the Service.
Section 02The Service
Virideon provides an organizational intelligence platform that helps organizations connect, search, and reason across their own data sources, including content from email, documents, calendars, audio, and connected third-party services. Specific features available to you depend on your subscription, your organization's configuration, and the data sources connected to the Service.
We may add, modify, or remove features at any time. We will provide reasonable notice of material changes that adversely affect functionality you rely on.
Section 03Accounts
You must register an account or be invited by your organization's administrator to use the Service. You are responsible for keeping your credentials secure, for activity that occurs under your account, and for notifying us promptly of unauthorized access. We may suspend accounts that we reasonably believe have been compromised.
Section 04Customer Data
"Customer Data" means all data, content, and information that you or your organization submit to, store in, or have ingested by the Service, including data from connected sources (such as Google Workspace or Microsoft 365). As between you and Virideon:
- You retain all right, title, and interest in Customer Data.
- You grant Virideon a limited, non-exclusive license to host, process, transmit, display, and otherwise use Customer Data solely to provide and support the Service for you.
- Virideon will handle Customer Data in accordance with our Privacy Policy and any applicable Data Processing Addendum.
- We do not use Customer Data to train, fine-tune, or improve generalized artificial intelligence or machine-learning models for Virideon or any third party.
Section 05Acceptable use
You agree not to:
- use the Service to violate any law or the rights of any third party;
- upload or transmit content that is unlawful, infringing, defamatory, or harmful;
- attempt to gain unauthorized access to the Service, other Customers' data, or our infrastructure;
- interfere with or disrupt the integrity, security, or performance of the Service;
- reverse-engineer, decompile, or attempt to derive the source code of the Service except to the extent permitted by applicable law;
- use the Service to build a competing product, or to benchmark the Service for the purpose of building one;
- misrepresent your identity or affiliation, or impersonate any other person or entity.
Section 06Subscriptions and fees
Access to the Service may require a paid subscription or other commercial arrangement. Subscription fees, billing terms, and renewal mechanics will be set out in an Order Form or equivalent commercial document between Virideon and your organization. Unless otherwise stated in writing, fees are non-refundable and exclusive of taxes.
Section 07Intellectual property
Virideon and its licensors retain all right, title, and interest in and to the Service, including the underlying software, models, knowledge graph schemas, search and reasoning systems, documentation, trademarks, and any improvements or derivative works. Nothing in these Terms transfers any such rights to you except for the limited rights to use the Service expressly granted here.
If you provide suggestions, ideas, or feedback ("Feedback") about the Service, you grant Virideon a perpetual, worldwide, royalty-free license to use that Feedback to operate, improve, and promote the Service, with no obligation to you.
Section 08Confidentiality
Each party may receive non-public information about the other in connection with the Service ("Confidential Information"). Each party will protect the other's Confidential Information using the same care it uses for its own confidential information (and no less than reasonable care), and will use it only to perform under these Terms. Customer Data is treated as your Confidential Information.
Section 09Third-party services
The Service integrates with third-party services that your organization chooses to connect (for example, Google Workspace, Microsoft 365, Slack, Dropbox). Your use of those third-party services is governed by their own terms and policies. Virideon's handling of data received from Google APIs is additionally subject to our Google API Disclosure.
Section 10Warranties and disclaimers
We provide the Service with reasonable care and skill. Except as expressly stated in a separate written agreement with your organization, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or arising out of course of dealing or usage of trade.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any results obtained from the Service (including AI-generated answers) will be accurate, complete, or suitable for any particular purpose. You are responsible for evaluating outputs before acting on them.
Section 11Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages.
The total aggregate liability of either party arising out of or related to these Terms or the Service will not exceed the amounts paid or payable by your organization to Virideon for the Service in the twelve (12) months preceding the event giving rise to the claim. If no fees have been paid, the cap is the greater of one hundred US dollars (US$100) or the amount required by applicable law.
Section 12Indemnification
You will defend, indemnify, and hold harmless Virideon and its affiliates, officers, employees, and agents from and against any third-party claims, damages, and reasonable expenses (including reasonable attorneys' fees) arising out of your or your organization's: (a) violation of these Terms; (b) misuse of the Service; (c) Customer Data; or (d) violation of any law or the rights of any third party.
Section 13Term and termination
These Terms apply from when you first accept them and continue until terminated. Either party may terminate for material breach if the breach is not cured within thirty (30) days of written notice. Virideon may suspend or terminate access immediately if we reasonably believe continued access poses a security, legal, or operational risk.
On termination, your right to access the Service ends. Virideon will delete Customer Data, including data from connected sources, in accordance with the retention timelines in our Privacy Policy. Sections that by their nature should survive termination (including Confidentiality, IP, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.
Section 14Changes to the Service or these Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date and, where required, we will notify Customers in advance. Continued use of the Service after a change indicates acceptance of the updated Terms.
Section 15Governing law
These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Fairfax County, Virginia, for any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction.
